Important: if your organisation has an Order Form, statement of work, partner agreement, API agreement or other written agreement with RibiRewards, that agreement takes priority where it expressly conflicts with these website terms.
1. Scope and agreement
These Terms and Conditions govern access to and use of RibiRewards websites and services. By accessing or using a RibiRewards service, creating an account, integrating with our APIs, placing an order, funding or launching a programme, or redeeming a reward, you agree to the terms that apply to that activity. If you act for an organisation, you confirm that you are authorised to bind that organisation.
2. RibiRewards services
RibiRewards provides reward and incentive infrastructure across supported markets. Services may include reward catalogues, issuance, RewardsCard and recipient choice, campaign and incentive programme tools, APIs and hosted redemption, gift cards and digital value, merchandise, dining and experiences, sourcing, fulfilment, delivery, reconciliation, reporting and related support. Availability differs by country, supplier, programme and integration.
Specific commercial terms, service levels, funding requirements, reward values, countries, categories and deliverables may be set out in an Order Form, proposal or partner agreement.
3. Accounts and authorised users
You are responsible for accurate account information, protecting credentials and API keys, controlling authorised users and promptly telling us about suspected unauthorised access. Actions taken through your account or credentials may be treated as authorised unless you have notified us of compromise. You must not share credentials in a way that circumvents agreed user or security controls.
4. Programmes, campaigns and eligibility
Programme sponsors are responsible for lawful programme rules, participant eligibility, promotional disclosures, required consents and the accuracy of participant or transaction data they provide. RibiRewards may apply agreed validation, limits, expiry rules, spend scope, country restrictions, catalogue rules or other programme controls before a reward is issued or redeemed.
We may reject, pause or investigate instructions that appear duplicated, fraudulent, unlawful, technically unsafe or inconsistent with an agreed programme.
5. Rewards, balances and redemption
Rewards may be delivered as codes, links, cards, catalogue access, stored or reusable programme value, third-party vouchers, products, experiences or other supported formats. A reward is not cash unless expressly stated. Reward availability, expiry, permitted use, remaining-balance rules, cancellation rights and redemption conditions may depend on the programme and underlying supplier.
Recipients must keep reward credentials secure. We may require reasonable verification before replacement, investigation or fulfilment. Once value has been validly redeemed or supplied, reversal may not be possible.
6. Physical goods, experiences and fulfilment
For merchandise and physical rewards, product availability, substitutions, delivery areas and timelines can vary. Where an item becomes unavailable, we may offer an equivalent, alternative value or other reasonable resolution subject to the programme rules.
For dining, wellness, travel or other experiences, requests may require availability confirmation by a venue or supplier. A request is not a confirmed booking until confirmation is issued. Supplier cancellation, rescheduling, attendance, age, identification, health, venue or other conditions may apply. RibiRewards coordinates the reward journey but does not control every third-party venue or service provider.
7. Fees, funding and taxes
Business customers must pay fees and fund programmes in accordance with their commercial agreement. Unless stated otherwise, quoted prices may exclude applicable taxes, payment costs, delivery charges or programme-specific fees. We may delay issuance or fulfilment where required funds have not cleared or an account is overdue. Each party remains responsible for taxes imposed on it by applicable law.
8. APIs, integrations and platform use
API and integration access is provided for approved business purposes and subject to documentation, credentials, rate limits and security requirements. You must not attempt to bypass access controls, scrape protected services, reverse engineer restricted components, interfere with service integrity or use an integration to issue unauthorised value. We may change or deprecate endpoints with reasonable notice where practicable, except where urgent security or operational action is required.
9. Acceptable use
You must not use RibiRewards for unlawful, deceptive, abusive or fraudulent activity; sanctions evasion; money laundering; unauthorised resale; harassment; infringement; malicious code; credential attacks; or any activity that could damage RibiRewards, suppliers, clients or recipients. We may impose transaction, programme, recipient or account limits to manage security, fraud, regulatory or operational risk.
10. Intellectual property and content
RibiRewards and its licensors retain rights in the platform, software, APIs, documentation, designs, trademarks and service content. We grant you a limited, non-exclusive, non-transferable right to use the services for their intended purpose during your authorised access. You retain rights in content and branding you provide and grant us the rights reasonably necessary to host, display and use them to provide your programme.
Third-party brand names, logos, products and content remain the property of their respective owners. Catalogue inclusion does not transfer any intellectual-property rights.
11. Data and privacy
Each party must comply with applicable data-protection law for personal information it controls. Our handling of personal information is described in the RibiRewards Privacy Policy. Business agreements may include additional data-processing terms. You must have an appropriate basis to provide recipient or participant information to us.
12. Third-party supply
Some rewards and services are supplied by independent merchants, brands, couriers, venues, payment providers or other partners. Their own terms may apply to the underlying product or service. Supplier inventory, pricing, operating hours and availability can change. We will use reasonable efforts to provide accurate catalogue information and resolve fulfilment issues, but we do not promise that every third-party item will remain continuously available.
13. Availability and changes
We may maintain, improve, replace or discontinue parts of the service and may temporarily suspend access for maintenance, security, legal or operational reasons. We aim to minimise disruption and, for material changes affecting contracted business services, will follow any notice commitments in the applicable commercial agreement.
14. Warranties and liability
RibiRewards will provide its services with reasonable care and skill. Except for rights or warranties that cannot lawfully be excluded, services are provided without implied warranties of uninterrupted availability or fitness for every particular programme. Neither party will be liable for indirect, incidental, special or consequential loss, or loss of profit, revenue, goodwill or anticipated savings, to the extent permitted by law.
For business services, any financial liability cap and exclusions in an applicable Order Form or commercial agreement will apply. Where no separate written cap exists, liability should be assessed under applicable law and these terms. Nothing in these terms excludes liability that cannot legally be excluded, including liability for fraud or fraudulent misrepresentation.
15. Indemnity
To the extent permitted by law, a business customer is responsible for claims arising from its unlawful programme rules, content, participant data, misuse of the services or breach of these terms. Any contractual indemnities agreed between RibiRewards and a business customer in a signed agreement take precedence over this general provision.
16. Suspension and termination
We may suspend access or fulfilment where reasonably necessary because of non-payment, security risk, suspected fraud, unlawful use, material breach, supplier or regulatory restrictions, or risk to recipients or the service. Business customers may terminate in accordance with their commercial agreement. After termination, accrued payment obligations and provisions intended to survive will continue.
17. Contract terms and disputes
If a signed commercial agreement specifies governing law, jurisdiction or dispute resolution, those provisions apply. Otherwise, the governing law and forum will be determined by the RibiRewards contracting arrangement applicable to the service and any mandatory law that cannot be excluded. Before formal proceedings, the parties should first try in good faith to resolve a dispute through the contacts responsible for the relevant programme.
If any provision is unenforceable, the remainder remains effective. Failure to enforce a provision immediately is not a waiver. Neither party is responsible for delay caused by events outside its reasonable control, except for payment obligations already due.
